1. Company Information
Grentex & Co, headquartered in Mumbai, India, specializes in worsted yarn, carded yarn, scoured wool, and combing support for global export markets.
2. Orders & Contracts
– All orders are subject to written confirmation by Grentex & Co.
– Any verbal commitments are valid only when supported by written confirmation.
– Once confirmed, orders are non-cancellable unless agreed in writing by Grentex & Co.
– Prices are subject to change without prior notice unless fixed in a written contract.
3. Payments & Invoicing
– Payment terms are strictly as per invoice. Delayed payments may incur interest at [X]% per month.
– Title to goods remains with Grentex & Co until full payment is received.
– All transfer, bank, and transaction charges are the responsibility of the buyer.
4. Shipping, Delivery & Risk
– Delivery schedules are estimates only. Grentex & Co shall not be held liable for delays due to logistics, customs, or unforeseen events.
– Risk transfers to the buyer once goods leave our warehouse.
– Insurance of goods during transit is the buyer’s responsibility unless otherwise agreed.
5. Quality & Warranty
– Grentex & Co guarantees that products meet agreed specifications at the point of dispatch.
– Responsibility for handling, storage, and further processing rests solely with the buyer.
– Claims for defects must be made within 7 days of receipt of goods. After this period, goods are deemed accepted.
– Grentex & Co does not accept liability for indirect, incidental, or consequential losses.
6. Returns & Rejections
– Goods once dispatched cannot be returned without written authorization.
– In the case of an approved return, freight and handling charges will be borne by the buyer.
7. Limitation of Liability
– Grentex & Co’s total liability is strictly limited to the invoiced value of the goods in question.
– We are not liable for any production losses, business interruption, or loss of profit arising from use of our goods.
8. Intellectual Property
– All content, documents, specifications, and branding remain the property of Grentex & Co.
– No reproduction, redistribution, or use is allowed without prior written consent.
9. Compliance & Responsibility
– Buyers are solely responsible for ensuring compliance with import regulations, duties, and taxes in their respective countries.
– Grentex & Co accepts no liability for delays or losses arising from customs issues or regulatory compliance at the buyer’s end.
10. Governing Law & Jurisdiction
– These Terms & Conditions shall be governed by the laws of India.
– Any disputes will be settled under the exclusive jurisdiction of the courts in Mumbai, India.
11. Force Majeure
Grentex & Co shall not be held responsible for any failure or delay in performance due to circumstances beyond our control, including but not limited to natural disasters, strikes, shipping delays, government actions, or global trade disruptions.
12. Amendments
Grentex & Co reserves the right to amend these Terms & Conditions at any time. The latest version will apply to all new transactions.
13. Authorized Representatives
– Grentex & Co conducts business only through its official management and designated personnel.
– We do not appoint external agents, intermediaries, or representatives unless explicitly authorized in writing by our key management.
– Any claims, commitments, or agreements made by unauthorized persons are not binding on Grentex & Co.
– Clients and partners are advised to verify the authenticity of communications directly with our head office in Mumbai, India.
